These Terms and Conditions govern the sale of rubber buffing and rubber-related scrap products (the “Products”) supplied by Arm Industry Co., LTD. By placing an order with us, you (the “Buyer”) agree to abide by these terms and conditions.

1. General Conditions

  • Company Details: Arm Industry Co., LTD is a registered company in the United Kingdom (Company Registration Number: 0125568002168), with additional offices in the Philippines and Thailand.

  • These Terms and Conditions apply to all transactions with Arm Industry Co., LTD unless otherwise agreed in writing.

2. Product Specifications

  • All products are subject to quality control and inspection. The buyer is encouraged to confirm the quality, quantity, and specifications before finalizing the purchase, particularly for bulk orders.

  • The buyer acknowledges that slight variations in product appearance or composition may occur due to manufacturing processes or material availability.

3. Pricing and Payment

  • Prices for the Products are provided in the Proforma Invoice and are subject to change based on market conditions.

  • Payment is required via Telegraphic Transfer (TT) to the company-registered bank account. Payment terms will be outlined in the Sales and Purchase Contract.

  • The first deposit is due upon signing the contract, with subsequent payments due as outlined in the agreement.

4. Order Confirmation & Contract

  • All orders are subject to confirmation by Arm Industry Co., LTD. Once confirmed, a Sales and Purchase Contract will be issued.

  • The contract must be signed by both parties before any further actions can take place.

5. Delivery and Shipping

  • The shipping method and Incoterms (CIF, FOB, ExW) will be agreed upon in the Sales and Purchase Contract.

  • Delivery times are estimated based on availability, production times, and shipping schedules. While we strive to meet deadlines, Arm Industry Co., LTD cannot be held responsible for delays caused by third-party logistics providers, customs clearance, or force majeure events.

  • Shipping costs are calculated based on the agreed Incoterms, with the buyer assuming responsibility for customs duties and taxes unless otherwise stated.

6. Inspection & Quality Assurance

  • The buyer has the right to request an SGS (or equivalent) inspection to verify the quality and quantity of the goods before shipment.

  • The buyer can also arrange a site visit to confirm the materials’ condition during inspection.

7. Risk & Ownership

  • The risk of loss or damage to the goods transfers to the buyer once the goods are delivered according to the agreed Incoterms.

  • Ownership of the goods remains with Arm Industry Co., LTD until the final payment is received in full.

8. Returns & Refunds

  • Returns are only accepted if the goods are damaged upon arrival or if they do not conform to the agreed specifications in the contract.

  • All return requests must be made within 7 days of receiving the goods, with proper documentation and inspection reports.

  • Refunds, if applicable, will be processed after an investigation and evaluation of the return request.

9. Force Majeure

  • Arm Industry Co., LTD will not be held liable for any delays or failure in performance caused by unforeseen events outside of our control, including, but not limited to, natural disasters, wars, strikes, or other events of force majeure.

10. Governing Law & Dispute Resolution

  • These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom.

  • Any disputes arising from or in connection with these terms will be subject to the exclusive jurisdiction of the courts in the United Kingdom.

11. Limitation of Liability

  • Arm Industry Co., LTD‘s liability is limited to the total value of the goods sold, as specified in the Sales and Purchase Contract. We will not be liable for any indirect, incidental, or consequential damages.

12. Amendments

  • Arm Industry Co., LTD reserves the right to amend or update these Terms and Conditions at any time. Any amendments will be communicated to the buyer, and continued use of our services will constitute acceptance of the revised terms.
